‘Gbite Adeniji is one of the founders of the firm. He is a recognized expert in Nigerian energy, natural resources and infrastructure law. With over 20 years of experience in these focal sectors, he has represented government agencies, large multinational and local companies, lenders, private equity funds, project sponsors, developers and contractors in a broad range of transactions and projects in the oil and gas, mining, electricity and public infrastructure sectors.

‘Gbite was a Senior Consultant at the World Bank [Oil, Gas, Chemicals & Mining Department] in Washington, D.C. He is widely recognized as the architect of the emerging legal, regulatory, policy and commercial framework of the Nigerian gas and mining sectors. A substantial part of his practice in recent years has been devoted to the Nigerian Gas Master plan – an initiative for the development of the domestic gas sector in Nigeria.

In addition to providing policy advice to Government during the development of the Gas Master Plan, he prepared regulatory instruments such as the National Gas Policy document, a Downstream Gas Bill, the National Domestic Gas Supply and Pricing Policy and the National Domestic Gas Supply and Pricing Regulations.

He also assisted with the development of the commercial framework for wholesale gas supply to domestic gas utilization projects. He advised on the establishment of the Gas Aggregation Company of Nigeria, led the drafting of the model Gas Sale and Purchase Agreement, Escrow Agreement and Gas Transmission Agreement for wholesale gas transactions in the Nigerian domestic gas sector, assisted with the negotiations for the first World Bank Partial Risk (“PRG”) Guarantee program for Nigeria and prepared related documentation for the application of the PRG for gas supply to state-owned power plants.

‘Gbite’s extensive experience with structuring, documenting, reviewing and negotiating energy industry agreements covers key upstream, midstream and downstream oil and gas agreements and several other types of agreements relevant to gas and power project development such as gas sale and purchase agreements, gas marketing agreements, tolling agreements, carbon trading agreements, BOT contracts, power purchase agreements, corporate and commercial agreements, term sheets and other key financing documentation. His experience also covers public-private infrastructure projects. He has advised governments on PPP law and policy, prepared a draft railway legislation to facilitate private sector investment into the railway sector and represented clients in reviewing and negotiating concession agreements and other project finance and infrastructure financing documentation.

He has written and speaks regularly on a variety of issues relating to energy and natural resources law and policy.
