Electricity

Following a process of sector reforms, Nigeria is at the cusp of a period of significant private sector investment in its electricity sector and the development of a new electricity market. Our Consultants have over the past decade inspired, advised, participated and still remain stakeholders in shaping this transition process, especially as it relates to gas based power generation.

Our Chief Consultants have contributed policy advice on the design and reform of the legal, regulatory, policy and commercial landscape for the Gas to Power Sector. They have advised government on the National Gas Policy, the National Domestic Gas Supply and Pricing Policy and the National Domestic Gas Supply and Pricing Regulations, which set a pricing framework for gas sale to the power sector. Experience gained in this process and in assisting with the development of the commercial framework for wholesale gas supply to the power sector has enhanced our understanding of the sector and the landscape in the gas and power sectors.

Our recent work has been focused on assisting clients in M & A transactions, specifically, the divestment of Government’s interest in its power plants (PHCN & NIPPs) and in greenfield independent power plant projects.

Mergers & Acquisitions

  • Advising Oil Flow Limited in the acquisition of a 280MW power plant and the development of a greenfield IPP in Nigeria.
  • Advised as part of a team on site acquisition and initial consortium documentation on Phase I of the 450MW Azura IPP power project.
  • Advising 3 Consortia in their bids to acquire Geregu II, Omotosho, Olorunsogo, Gbarain and Ihovbor National Integrated Power Project (“NIPP”) Plants, under the Niger Delta Power Holding Company (NDPHC – a state utility company) privatization programme.
  • Advised Symarq Limited in respect of its participation in the privatization of the Afam Electric Power Plant.
  • Advised Lenux Power Limited in conjunction with Norton Rose LLP on its bid to acquire Sapele Power Plant during the recent PHCN privatization process. This advice included the entire bid work scope up till submission of the Bid.
  • Advised Oando Gas and Power in its bid to acquire Eko, Ikeja and Ibadan PHCN Distribution Companies under the recent power privatisation carried out by the government. This advice included the entire bid work scope up till submission of the Bid.
  • Conducted due diligence on an independent power project for a UK private equity firm in connection with a proposed acquisition of an equity stake in the project company.
  • Advised Globeleq Advisors, an international power company and a subsidiary of Actis in respect of the proposed acquisition of an equity stake in the Ibom Power Plant. Advised on key transaction and regulatory risks.
  • Participated in the NERC stakeholder committees in respect of the finalisation of the model PPA and Vesting Contracts.
  • Advised a foreign investor on the acquisition of the Gas-to-Power business of a Nigerian energy company. This advice involved extensive due diligence on two captive power IPPs as well as review of over 20 gas supply and purchase agreements.

Projects

  • Advising Yellowstone Power Limited on the development of its Ajaokuta IPP in Kogi State.
  • Advised ExxonMobil on the development of the 500MW IPP.
  • Project Counsel to the 500MW Index Thermal Power Limited independent power plant project. Lead legal adviser to Index Thermal Power Limited, advised on the initial project development phase as well as project documentation.
  • Negotiated and prepared a gas sales agreement, power purchase and security documentation for Nigerian Aluminium Extrusions Limited in respect of a proposed captive power plant.
